1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the FiFi mobile application and related services (collectively, the "Services"). The Services are provided by FiFi AI LLC, a Delaware limited liability company ("FiFi," "we," "us" or "our"), which operates in the United States and the European Economic Area. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Services.

FiFi may update these Terms from time to time to reflect changes in our business practices, legal or regulatory requirements, or improvements to the Services. We will notify you of any material changes by posting the revised Terms within the app or on our website. Your continued use of the Services after the effective date of any amended Terms constitutes your acceptance of the revised Terms.

2. Eligibility and Account Responsibility

The Services are intended for individuals who are at least thirteen (13) years of age. The FiFi app carries a 9+ rating in the Apple App Store, but our Services are not directed to children under 13. By using the Services, you represent that you are at least 13 years old and have the legal capacity to enter into a binding contract. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may use the Services only with the consent of a parent or legal guardian, who must review and accept these Terms on your behalf.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to keep your information up to date. You must not share your login information with others or allow any other person to access your account. FiFi is not liable for any loss or damage arising from your failure to safeguard your account.

3. Licence to Use the Services

Subject to your compliance with these Terms, FiFi grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable and revocable licence to access and use the Services for your personal, non‑commercial use. You may not use the Services for any commercial purpose or in any manner that violates these Terms or any applicable law. FiFi reserves all rights not expressly granted to you in these Terms.

4. Prohibited Conduct

You agree that you will not, and will not encourage or permit any third party to:

• Use the Services in any manner that violates any applicable law, regulation or court order.

• Harass, threaten, abuse or intimidate any user or any FiFi personnel.

• Post, upload or transmit any content that is defamatory, obscene, pornographic, violent, discriminatory, illegal or otherwise objectionable.

• Infringe upon or violate the intellectual property rights or other rights of any person or entity.

• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

• Transmit any unsolicited or unauthorised advertising, promotional materials, spam, junk mail or chain letters.

• Engage in unauthorised scraping, indexing, surveying, data mining or other data extraction from the Services.

• Reverse engineer, decompile, disassemble or attempt to discover the source code or underlying algorithms of any portion of the Services, except to the extent such restrictions are prohibited by law.

• Interfere with or disrupt the operation of the Services or servers or networks used to make the Services available.

FiFi reserves the right, but is not obligated, to monitor access to or use of the Services or to review or remove any content for the purpose of operating the Services, ensuring compliance with these Terms, or complying with applicable law.

5. User Content

The Services may allow you to upload, post or transmit photographs, text, messages or other materials ("User Content"). You retain ownership of your User Content. However, by submitting User Content through the Services, you grant FiFi a worldwide, royalty‑free, non‑exclusive licence to use, reproduce, modify, distribute, display and perform your User Content in connection with the operation of the Services and FiFi's marketing and promotional activities. This licence is sublicensable to our service providers solely for the purposes described in these Terms.

You are solely responsible for your User Content and represent and warrant that you own or have the necessary rights and permissions to provide the User Content and to grant the licences described herein. You agree that FiFi is not responsible for monitoring, editing or controlling User Content and will not be liable for any User Content. We reserve the right to remove User Content that we believe violates these Terms or any applicable law or to suspend or terminate accounts associated with such content.

6. Subscription and Payment Terms

Certain features of the Services are offered on a subscription basis. Pricing, subscription tiers and benefits will be described within the app. By purchasing a subscription, you authorise FiFi (or its payment processors, such as Apple App Store or Google Play) to charge the applicable subscription fees and any applicable taxes to your chosen payment method. Unless otherwise specified, subscriptions are automatically renewable and will renew for successive billing periods at the then‑current subscription rate unless cancelled before the renewal date.

You may cancel your subscription at any time through the account settings of the platform where you purchased the subscription (e.g., your App Store account). Cancellation will take effect at the end of the current billing cycle. Refunds are provided only where required by law or as explicitly stated in our cancellation policy. FiFi does not collect or store your full payment card details; payments are processed by third‑party platforms, and their terms and conditions apply to your transactions.

FiFi reserves the right to modify subscription pricing or introduce new fees. If we make changes to subscription pricing, we will provide you with reasonable advance notice. Your continued use of the subscription after the price change takes effect constitutes your agreement to pay the updated amount.

7. Termination and Suspension

FiFi may, in its sole discretion, suspend or terminate your access to the Services at any time and without prior notice if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or otherwise harmed other users or the Services. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, limitations of liability and dispute resolution.

You may terminate your account at any time by following the instructions provided in the app. Termination of your account will not relieve you of any obligations to pay accrued fees or charges. Upon termination by either party, FiFi may retain certain information as required by law or for legitimate business purposes.

8. Proprietary Rights

FiFi and its licensors own all right, title and interest in and to the Services, including all software, graphics, text, design, and other materials, as well as all related intellectual property rights. The FiFi name and logo are trademarks of FiFi AI LLC. You may not use our trademarks without our prior written permission. Except for the limited licence expressly granted to you in Section 3, FiFi reserves all rights not expressly granted under these Terms.

9. DMCA Notices

FiFi respects the intellectual property rights of others and expects users of the Services to do the same. If you believe that any content available through the Services infringes your copyright, please notify us in accordance with the United States Digital Millennium Copyright Act (DMCA). Your notice must include (1) a physical or electronic signature of the copyright owner or authorised agent; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the infringing material; (4) your contact information; (5) a statement that you have a good‑faith belief that the use of the material is not authorised by the copyright owner, its agent or the law; and (6) a statement under penalty of perjury that the information in the notification is accurate and you are authorised to act on behalf of the owner of the exclusive right that is allegedly infringed. 10. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, FIFI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND TITLE. FIFI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE SERVICES AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FIFI, ITS AFFILIATES, DIRECTORS, EMPLOYEES OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF FIFI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FIFI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL IN NO EVENT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO FIFI IN SUBSCRIPTION FEES DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above exclusions and limitations may not apply to you. In such cases, FiFi's liability will be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend and hold harmless FiFi, its affiliates, officers, directors, employees and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including reasonable attorneys' fees) arising from (i) your access to or use of the Services, (ii) your violation of any term of these Terms, (iii) your breach of any representation or warranty, or (iv) your infringement or misappropriation of any intellectual property or other rights of any person or entity.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. If you are a consumer residing in the European Union, you may be entitled to rely on mandatory provisions of the law of your country of residence.

You and FiFi agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any dispute arising out of or relating to these Terms or the Services, except where prohibited by law. Nothing in these Terms limits your rights as a consumer to rely on mandatory provisions of local law.

14. General Terms

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms constitute the entire agreement between you and FiFi regarding your use of the Services and supersede all prior agreements, understandings or representations between you and FiFi.

Assignment. You may not assign or transfer these Terms or any rights or obligations under these Terms without FiFi's prior written consent. FiFi may assign these Terms without restriction. These Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Waiver. The failure of FiFi to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of FiFi.
